aspetti positivi e negativi e le startup dovrebbero raccogliere in momenti ben precisi in cui il capitale aggiuntivo ha un impatto importante per la crescita.<\/p><p>Nello specifico i <b>momenti ideali<\/b> per raccogliere sono:<\/p><ol><li>Quando si vuole <b>scalare qualcosa che \u00e8 stato testato<\/b> con successo;<\/li><li>Quando si vogliono realizzare progetti di <b>ricerca e sviluppo<\/b> complessi;<\/li><li>Nelle fasi iniziali per acquisire <b>nuove figure per il team.<\/b><\/li><\/ol><p>Raramente gli investitori qualificati (inclusi business angels) investono in momenti differenti da quelli elencati. Per definirlo \u00e8 necessario trovare il giusto trade-off tra il <b>funding need<\/b> e la percentuale di equity che si \u00e8 disposti a cedere.<\/span><\/p><p style=\"text-align: justify;\"><span lang=\"IT\" style=\"font-size: 11.0pt; font-family: 'Arial',sans-serif;\">Il funding need si calcola attraverso il comulative cash flow, sommando i flussi di cassa dei mesi in cui la startup \u00e8 operativamente in perdita a causa degli investimenti necessari per la crescita.<\/span><\/p><p style=\"text-align: justify;\"><span lang=\"IT\" style=\"font-size: 11.0pt; font-family: 'Arial',sans-serif;\">Per quanto riguarda la cessione di equity bisogner\u00e0 stimare la valutazione aziendale e valutare anche le future evoluzioni della captable. Se firmi una clausola sbagliata o cedi troppa equity, non potrai pi\u00f9 tornare indietro.
